Introduction

SecretUndies .com is an online platform operated by SecretUndies Ltd. (headquarters: Republic of Cyprus, accurate company data is currently shown) for the discreet and anonymous C2C trade of second-hand intimate clothing (including items marked as “worn”) between users: insiders from the entire DACH area. Upon registration and use of the Platform, both the General Terms and Conditions (Part 1) and the Terms of Use/House Rules (Part 2) are accepted. They complement each other; In the event of conflicts, special provisions of the Terms of Use shall prevail over the general provisions. Status: 8 November 2025

Part 1 – General Terms and Conditions (GTC)

§1 Scope and definitions

(1) These General Terms and Conditions apply to all contracts, rights and obligations between SecretUndies Ltd. ("SecretUndies", "We") and all registered users: within the SecretUndies .com platform ("Platform"). They apply to all functions and modules of the platform, including the coin system, the chat and community areas, and the ranking system. (2) "Users:inside" are all natural persons who create an account, regardless of whether they act as Seller:in or Buyer:in. Sellers:inside and buyers:inside conclude purchase contracts via the platform independently and under their own responsibility. SecretUndies exclusively provides the technical infrastructure and platform services. (3) “Articles” are all offers of goods, in particular second-hand intimate clothing (worn or unworn) as well as complementary products, which are permitted according to the relevant laws of the state of residence of the participating users. (4) “Coins” are digital usage/credit points without legal payment status that can be used exclusively for digital additional functions within the platform.

§2 Subject matter of the contract & platform role (marketplace)

(1) SecretUndies operates an online marketplace that brings buyers and sellers together. SecretUndies is not a seller of the items offered through the Platform. Purchase contracts for articles are concluded exclusively between Buyer:in and Seller:in. (2) SecretUndies exclusively provides technical platform services (e.g. account management, offer presentation, communication functions, payment and withdrawal infrastructure, abuse prevention, moderation). SecretUndies does not provide sexual services and does not provide sexual services. (3) It is forbidden to initiate or provide meetings, offline handovers, escort, escort or other personal services via the platform. agree. Offers and requests in this direction can be removed and accounts blocked. (4) SecretUndies assumes no guarantee for the actual processing, fulfillment or enforcement of the contracts concluded between users and in particular is not liable for defects, quality, quality, hygiene standards or legal admissibility of offered articles. Mandatory legal liability remains unaffected.

§3 Registration and User Account

(1) The use of the platform requires registration and the creation of a personal user account. Only the registration of persons of full legal capacity (18+) is permitted. SecretUndies is entitled to request proof of age. (2) Users: insider warrant to provide truthful information as part of the registration and to update it immediately if changes are made. Multiple accounts, identity concealment or the use of third-party data are prohibited. (3) Access data shall be treated confidentially. Users are liable for all activities carried out using their access data, as far as they are at fault. (4) SecretUndies may refuse registration without giving reasons or suspend existing accounts if there is evidence of abuse, violations or violations of these GTC/Terms of Use.

§4 Rank System & Platform Fees

(1) SecretUndies uses a ranking system for ranking sellers: insiders based on verifiable activity and quality indicators (e.g. sales volume, ratings, behavioral history). The ranks have the following platform fees on net sales:

• Bronze: 25% platform fee
• Silver: 20% platform fee
• Gold: 15% platform fee
• Platinum: 10% platform fee

(2) Rank is associated with visibility benefits and status features. SecretUndies reserves the right to adjust criteria, fees and benefits if this is factually justified and users are informed in advance. (3) Fees are only charged when successful transactions take place. The use of the platform itself is free of charge; there are no mandatory subscriptions or membership fees.

§5 Coins system

(1) Acquisition of Coins: Users can voluntarily purchase coins through external payment service providers such as Stripe or equivalent providers. The purchase creates a license right for the use of digital additional functions of the platform. The purchase is a contract for digital content without physical data carriers. (2) Use: Coins are used exclusively for the acquisition of digital additional functions within the platform (e.g. visibility functions, optional feature releases). Coins are not a means of payment for item purchases and do not replace payment between Buyer:in and Seller:in. (3) No entitlement to payment: Coins have no monetary value outside the platform, are non-redeemable, non-transferable and expire upon termination of the account. A payout in fiat or crypto currencies is excluded. (4) Forfeiture of misuse/lock: In the event of legal or usage violations, blocking or termination of the account, SecretUndies Coins can be withdrawn or deactivated. The same applies to misuse, manipulation or technical interventions. (5) Amendments & Disclaimer: SecretUndies can change or discontinue coin offers, prices and functions at any time. Coins already redeemed will not be refunded. Legal warranty rights remain unaffected. SecretUndies is not liable for damages resulting from unauthorized third-party access, unless SecretUndies is at fault. (6) No payment service: The Coins system is neither a payment account nor an e-money product. Coins are non-tradable and cannot be used for transfer to other users or for withdrawal.

§6 Obligations of Users:

(1) Users undertake to comply with all applicable laws of the country of residence as well as the regulations of these GTC and Terms of Use. They ensure that the items offered are legal and do not infringe any third party rights. (2) Sellers: insiders must truthfully state the condition of their items (in particular “worn” or “unworn”), properly package and maintain appropriate hygienic standards. A cleaning obligation does not exist unless national legislation provides otherwise. (3) It is forbidden to disseminate personal contact information via the platform or to promote external communication channels. (4) Users are not allowed to take any actions that ensure the safe operation of the platform endanger, in particular do not distribute malware, spam or other harmful activities. (5) Prohibited are offers or contents aimed at the sale, supply or promotion of body fluids or biologically hazardous materials. This includes in particular blood, urine, sperm, faeces, menstrual blood or comparable contents/announcements. (6) Sellers: insiders are obliged to pack and ship items in such a way that no health hazard arises and transport regulations are observed. SecretUndies may require proof of a shipping confirmation/shipment number as a condition for withdrawals. (7) Sellers:inside and buyers:inside may not use the platform to Coordinate content, unlawful actions or circumvention of the Platform Rules.

§7 Contract conclusion

(1) Offers from Sellers:insides are invitations to submit a purchase offer by buyers:insides (invitatio ad offerendum). The purchase contract is concluded by mutual declarations of intent of the participating users:innen. (2) SecretUndies provides technical functionalities (news, shopping cart, payment processing via third party providers). SecretUndies does not confirm any purchase contracts and assumes no guarantee for their content. (3) Sellers are responsible for compliance with consumer protection information obligations, as far as applicable. Buyers are obliged to check independently before concluding the contract whether the purchase is legally permissible.

§8 Payment processing, payments & fees

(1) For payment processing, SecretUndies uses external payment service providers (e.g. Stripe) and – where available – a marketplace/split payment infrastructure (e.g. Stripe Connect). The terms and conditions of the respective payment service provider apply in addition. (2) Sellers: inside are economically responsible for their offers and transactions. For the use of the platform, sellers authorize:innen SecretUndies to process payments technically via the integrated payment infrastructure, to withhold platform fees in accordance with §4 and to trigger payments to sellers:innen in accordance with these GTC and the payment service provider conditions. (3) SecretUndies can make payments to sellers dependent on the fact that the the required identity and/or age verification (KYC) has been fully completed with the payment service provider and the required withdrawal data (e.g. bank details) has been deposited. (4) SecretUndies may temporarily withhold withdrawals if this is necessary to prevent abuse, resolve disputes, fulfill legal obligations or process chargebacks/chargebacks. This applies in particular in the case of conspicuous transactions, unusual refund quota or missing shipping proof. (5) Fees of the payment service provider (e.g. transaction fees) are charged in accordance with its terms. To the extent such fees are attributable to a specific transaction, they may: are taken into account pro rata of payments.

§8a Refunds, Disputes & Chargebacks

(1) In principle, refunds (refunds) are made by the seller:in in accordance with the agreements made between buyer:in and seller:in as well as the applicable legal regulations. (2) In the event of payment disputes, chargebacks or suspicion of fraud, payment service providers may withhold or recover funds in whole or in part. Sellers bear the economic consequences of chargebacks, as far as these are attributable to their transaction. SecretUndies is entitled to offset corresponding amounts with payouts or to retain them temporarily. (3) SecretUndies may provide technical information for dispute resolution (e.g. order and shipping data, communication history within the scope of the legally permissible), but does not guarantee a decision of the payment service provider or a bank.

§9 Right of withdrawal (C2C/B2C)

(1) Since purchase contracts are concluded exclusively between private individuals, the statutory right of withdrawal for distance contracts generally does not apply. Users can voluntarily grant further return rights. (2) If sellers act as entrepreneurs: within the meaning of consumer protection laws, they are solely responsible for fulfilling the information and revocation obligations towards consumers: within. (3) SecretUndies provides information functions, but does not take any legal advice and no responsibility for legal obligations of users:inside.

§10 Liability & Host-Provider Status

(1) SecretUndies provides its services as host provider in accordance with art. 6 Digital Services Act (DSA) and Art. 14 of Directive 2000/31/EC. SecretUndies is only responsible for third-party content if there is knowledge of unlawful content and no immediate action is taken. (2) SecretUndies is liable without limitation for intent and gross negligence. In the event of slight negligence, SecretUndies is only liable in the event of breach of essential contractual obligations (cardinal obligations), but limited to the foreseeable, typical damage. (3) Liability for lost profit, indirect damage or consequential damage is excluded, as far as legally permissible. Mandatory legal liability (e.g. product liability, injury to life, body, health) remains unaffected.

§11 Suspension & Termination

(1) SecretUndies may suspend or terminate user accounts without notice if there are reasonable grounds for suspicion of serious breaches, illegal content or abuse. Where possible, a suspension shall be justified in advance or immediately thereafter. (2) Users: insiders can cancel their account at any time without a deadline. Already due fees remain owed. (3) Upon termination or blocking, unredeemed coins expire. Purchase rights or claims between users: inside remain unaffected.

§12 Data protection

(1) SecretUndies processes personal data exclusively in accordance with the General Data Protection Regulation (GDPR), the Cypriot data protection law and the applicable national consumer protection laws. The current data protection declaration can be accessed at any time via the platform. (2) According to the Digital Services Act, moderation decisions, notification & action procedures and statements of reasons are documented. Users: On request, they receive access to relevant information, where permitted by law. (3) SecretUndies uses technical measures (including ban word lists, automated filters) to detect and remove illegal content. A complete control of all content does not take place.

§13 Choice of Law and Jurisdiction

(1) The law of the Republic of Cyprus shall apply to the exclusion of conflict of laws. Mandatory consumer protection regulations of the state of residence of the users: inside remain unaffected. (2) If users are merchants or legal entities under public law or do not have a general place of jurisdiction in Cyprus, the seat of SecretUndies is agreed as the exclusive place of jurisdiction. (3) Amendments and additions to these GTC require the text form. SecretUndies informs users about relevant adjustments at least 14 days before their entry into force. If users object: within this period, the changes are deemed accepted.

Part 2 – Terms of Use ("House Rules")

§1 Scope & Relationship with Terms

(1) These terms of use specify the terms and conditions and apply to all interactions on the platform, in particular in community areas, news, article offers and promotions. (2) In the event of contradictions, the provisions of the Terms of Use shall prevail over the GTC, provided they contain a more specific regulation. Otherwise, the GTC remain unaffected.

§2 Registration, Safety & Proof of Age (18+)

(1) The platform is only accessible to persons of legal age. SecretUndies may request an identity or age verification at any time. Use by minors is strictly prohibited. (2) Users: insiders have to keep their access data secret and use strong passwords. Suspicions of unauthorised access must be reported immediately. (3) Sharing accounts or deliberately enabling use by third parties is not permitted.

§3 Conduct rules

Respectful treatment: Any form of harassment, bullying, hate speech, threats or discrimination is prohibited. Users: insiders commit themselves to a polite and appreciative cooperation. Discretion and anonymity: Personal or identifying content must be avoided. Photographs must not show faces, tattoos or other unique features. No external contacts: Offering or requesting personal contact information or external platforms (e.g. telephone, WhatsApp, Telegram, Instagram, OnlyFans, email) is prohibited. No offline deals: The initiation or conduct of offline transfers, meetings or services is prohibited. Attempts to process payments outside the platform are also prohibited.

§4 Content

Permitted presentations: Allowed are legal, voluntary, non-pornographic representations that focus on the product offered. Anonymous, aesthetic product photos without explicit sexual action are allowed. Forbidden Content: In particular, pornographic, minor-related, violent, discriminatory, drug-related or otherwise illegal content is prohibited. Content that constitutes or suggests sexual acts is prohibited. Also prohibited are representations of incapable persons or animals. Also prohibited are contents / offers related to body fluids or biologically hazardous materials. External advertising: Advertising for other services or platforms is prohibited without express written consent.

§5 Community and Chat

(1) All communication takes place exclusively via the platform. Automated messages, spam or chain letters are prohibited. (2) SecretUndies uses an automated moderation list to prevent illegal, pornographic, underage or external contact attempts. Messages can be automatically blocked or delayed in these cases. (3) Sexting, erotically explicit conversations or sending pornographic content via chat are prohibited. SecretUndies can check messages when there is a legitimate reason (for example, reporting a breach) and act in accordance with applicable law. (4) Violations lead to warnings, restrictions and blocking. SecretUndies informs affected users with a Statement of Reasons according to Art. 17 DSA.

§6 Guidelines for article offers

(1) Only legally permitted articles are allowed. Medical, prescription or health-threatening products as well as hygiene articles of third parties are prohibited. (2) The condition (‘worn’ or ‘unworn’) shall be truthfully identified. The offer of second-hand intimate clothing is permitted, provided the transaction is voluntary and a hygienic, discreet packaging is guaranteed. (3) Sellers: insiders must ensure that the articles do not pose a health hazard. Storage and dispatch must take place in sealed, suitable containers. (4) Sham transactions, fake offers or any form of manipulation are strictly prohibited.

§7 Dealing with User Generated Content (UGC)

(1) Users: By uploading their content, SecretUndies grants a simple, non-exclusive, worldwide, free right of use to store, host, reproduce, distribute and display the content for the operation of the platform. (2) This right of use is used for technical provision (cache, backups, content delivery). SecretUndies edits content only to the extent necessary for presentation or moderation. (3) Users: guarantee that they have all necessary rights and do not violate any rights of third parties.

§8 Ranks, Visibility & Fairness

(1) Ranks are based on transparent parameters defined by SecretUndies. Manipulation, purchased reviews, fake accounts or collusive activities to increase rank or visibility are prohibited. (2) SecretUndies reserves the right to downgrade ranks or adjust visibility if there are reasonable suspicions of abuse. (3) Users can challenge decisions on rank changes through the internal complaints procedure.

§9 Moderation & DSA procedure

(1) SecretUndies operates a notification & action system. Reports of unlawful content can be submitted via forms or contact channels provided. SecretUndies reviews notifications in a timely manner and takes appropriate action. (2) Affected users: insiders receive a Statement of Reasons according to art. 17 DSA, which explains the measure taken, the legal or contractual basis and remedies. (3) There is an internal complaint procedure (appeal). Users can submit a written complaint within six months of receipt of the Statement of Reasons. SecretUndies decides within a reasonable time and informs about the result. (4) SecretUndies works with Trusted Flaggers in accordance with art. 22 DSA together. Reports from Trusted Flaggers are processed in a prioritized manner.

§10 Final provisions

(1) Violations of these Terms of Use may result in warnings, restrictions, temporary suspensions or permanent exclusions. SecretUndies reserves the right to remove or deactivate content. (2) Changes to the Terms of Use will be announced at least 14 days before entry into force. Upon continued use, they are considered accepted. (3) Should individual provisions be ineffective, the effectiveness of the other provisions shall remain unaffected. Instead of the ineffective regulation, there is a regulation that comes closest to the economic purpose.
